Account Suspension or Termination:

• Harmful conduct within the social media component, or any action damaging to the platform’s integrity, security, or safety of other users.

Prohibited Usage:
You are strictly prohibited from attempting to manipulate, exploit, or abuse the virtual stock trading system, including but not limited to:

• Creating multiple accounts to gain unfair advantages.
• Engaging in fraudulent or abusive trading patterns.
• Violating local, national, or international laws in connection with your use of the Service.

3. Account Registration and Security

When you create an account with CROSEUS LTD:

• You agree to provide accurate, complete, and up-to-date information during the registration process. You are responsible for maintaining and promptly updating your account information to ensure it remains accurate and complete.
• You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and any two-factor authentication methods. CROSEUS LTD is not liable for any unauthorized use of your account due to your failure to safeguard your credentials.
• You agree to notify CROSEUS LTD immediately if you become aware of any unauthorized access to your account or any other breach of security.

Account Responsibility: You acknowledge that you are fully responsible for all activities conducted through your account, whether authorized by you or not. CROSEUS LTD disclaims any liability for loss, damage, or other consequences arising from unauthorized access to your account due to your failure to secure your credentials.

No Liability for Unauthorized Use: CROSEUS LTD is not liable for any losses or damages resulting from unauthorized access to or use of your account, including financial losses, data breaches, or other harm. You are solely responsible for securing your account.

User Assumption of Risk: By using the Service, you assume all risks associated with unauthorized access to your account, resulting from your failure to implement proper security measures (e.g., using strong passwords, enabling two-factor authentication). CROSEUS LTD disclaims all liability for such risks.

4. User Conduct

You agree to use the Service in a lawful, respectful, and responsible manner. Specifically, you agree not to:

• Illegal and Unauthorized Use: Use the Service for any illegal purposes, including but not limited to violating applicable laws, regulations, or community guidelines. CROSEUS LTD reserves the right to report any suspected illegal activity to law enforcement authorities.

5. Virtual Stock Trading and Financial Information

Our Service includes a virtual stock trading feature designed solely for educational and entertainment purposes. You understand and agree that:

• Virtual Nature of Trading: All trades within the Service are purely simulated and do not involve real money, financial assets, or securities. Virtual currency or stock transactions within the Service hold no real monetary value and cannot be redeemed for any real-world assets.

All content, tools, and simulations are intended purely for educational purposes and do not represent actual market behavior or performance. • Accuracy and Liability Disclaimer: While CROSEUS LTD strives to provide accurate and timely market data, no representations or warranties are made regarding the accuracy, completeness, or reliability of such information. The company disclaims any liability for inaccuracies in market data or financial information.
• User’s Assumed Responsibility: You bear full responsibility for any actions taken within the virtual stock trading feature and for decisions based on provided information. CROSEUS LTD is not liable for any real or simulated financial losses, nor does simulated trading performance imply success in real-world markets.
• Simulation Disclaimers: The virtual trading feature does not replicate real-world market conditions. • Limitation of Liability in Trading Simulation: CROSEUS LTD expressly disclaims liability for any real or hypothetical financial consequences resulting from virtual trading activities. Users agree that CROSEUS LTD is not responsible for any investment decisions, real-world financial actions, or market-related losses resulting from reliance on the Service.

6. Intellectual Property

All content, including but not limited to text, graphics, logos, icons, images, software, and interactive features within the Service, are the exclusive property of CROSEUS LTD or its licensors, protected by intellectual property laws. You agree to the following:

CROSEUS LTD disclaims any responsibility or liability for:

• Third-Party Availability and Security: The availability, security, reliability, or performance of third-party services, websites, or apps linked to or integrated with the Service.
• Content and Policies: The content, practices, policies, or actions of third-party websites, services, or platforms, including how third parties may handle your personal information or process payments.

By using third-party services, you acknowledge and agree that:

• Your interaction with any third-party service is governed solely by the terms and conditions, as well as privacy policies, of that third party. CROSEUS LTD is not responsible for any damages or losses arising from your use of third-party services or links.
• CROSEUS LTD disclaims all liability for any claims or damages resulting from failures in third-party services, including payment processing issues or authentication failures.
• No Warranty or Endorsement: CROSEUS LTD does not endorse or guarantee the accuracy or reliability of third-party services or links. Any reliance on third-party services is at your own risk.

8. Payment and In-App Purchases

Certain features of the Service may require payment, including in-app purchases or subscriptions. By making a purchase, you agree to the following terms:

• Accurate Payment Information: You agree to provide and maintain accurate, complete, and up-to-date billing information, including payment method details. Failure to provide accurate information may result in the suspension or termination of access to paid features.
• Authorization: By submitting payment details, you authorize CROSEUS LTD or its third-party payment processors to charge your designated payment method for all fees and costs incurred, including any applicable taxes, at the rates displayed at the time of purchase.
• No Refunds: All purchases are final and non-refundable, except as required by applicable law. CROSEUS LTD reserves the right to refuse or process refunds at its sole discretion. Refunds will not be issued for accidental purchases, changes in pricing, or dissatisfaction with features.
• Fraudulent Activity: CROSEUS LTD reserves the right to cancel, suspend, or terminate any transactions it deems to be fraudulent, suspicious, or in violation of these Terms.
• App Store Policies: In-app purchases are governed by the terms and policies of the applicable app store (e.g., Google Play, Apple App Store). By making an in-app purchase, you agree to comply with the terms and conditions of the respective platform, and CROSEUS LTD assumes no liability for disputes with the platform.

9. Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind. By using the Service, you acknowledge and accept the following disclaimers:

• License to CROSEUS LTD: By posting content, you grant CROSEUS LTD a non-exclusive, royalty-free, perpetual, worldwide license to use, modify, display, and distribute your content for any purpose related to the Service. This license survives the termination of your account.
• Content Moderation: CROSEUS LTD reserves the right (but is not obligated) to review, monitor, and moderate user-generated content. We may remove or disable content at our sole discretion, without notice, for violating these Terms or applicable laws. However, CROSEUS LTD assumes no liability for failure to remove or for the content that remains on the platform.
• Waiver of Liability: You waive and release CROSEUS LTD from any claims or liabilities arising from your engagement with user-generated content. This includes, but is not limited to, defamatory, misleading, offensive, or harmful posts, as well as reliance on any advice or recommendations from other users.

11. Limitation of Liability

To the fullest extent permitted by law, CROSEUS LTD, its officers, directors, employees, agents, and affiliates shall not be liable for any damages arising out of or related to your use of the Service, whether direct, indirect, incidental, consequential, punitive, or special, including but not limited to:

• Loss of Profits or Data: CROSEUS LTD is not responsible for any loss of profits, data, or other intangible losses resulting from your inability to access or use the Service or its features.
• Unauthorized Access: We are not liable for any unauthorized access to your account, personal information, or data due to security breaches, password theft, or other forms of unauthorized activity.
• Service Interruptions: We disclaim all liability for damages resulting from any suspension, interruption, or termination of the Service, whether planned or unplanned.
• User-Generated Content: CROSEUS LTD assumes no liability for user-generated content, including any claims of defamation, intellectual property infringement, or damages caused by harmful or inappropriate posts.
• Limitation of Remedies: Your sole and exclusive remedy for dissatisfaction with the Service is to discontinue your use of the Service. CROSEUS LTD's total liability, in any event, is limited to the greater of the amount paid by you for the Service or $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless CROSEUS LTD, its subsidiaries, affiliates, officers, directors, employees, agents, and contractors from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your Use of the Service: Any activities or actions related to your account, regardless of whether they are authorized by you, including but not limited to your use of the virtual stock trading feature, participation in social media interactions, or engagement with other users of the Service.
• Violation of Terms: Your breach or violation of these Terms, any applicable laws or regulations, or the rights of any third party.
• Intellectual Property Infringement: Any claim that your user-generated content or activities within the Service infringe upon the intellectual property, privacy, or any other rights of third parties.
• Fraud or Misrepresentation: Any fraud, misrepresentation, or false claims made by you in connection with your use of the Service or any other conduct that results in legal liability for CROSEUS LTD.

CROSEUS LTD reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate fully in asserting any available defenses.

13. Termination

CROSEUS LTD reserves the right, at its sole discretion, to suspend, terminate, or restrict your access to the Service, with or without prior notice, for any reason, including but not limited to:

• Violation of These Terms: If you are found to be in breach of any of these Terms or any applicable laws and regulations.
• Disruptive or Harmful Behavior: Any conduct that, in CROSEUS LTD’s sole judgment, disrupts the operation of the Service, harms other users, or compromises the integrity, security, or functionality of our systems.
• Legal Obligations: If termination is necessary to comply with applicable laws, regulations, or lawful governmental requests, including investigations into fraud or other unlawful activities.

Upon termination:

• Immediate Cessation: Your right to access and use the Service will immediately cease, and you will not be entitled to any refunds or compensation for any unused services or virtual assets.
• Data Deletion: CROSEUS LTD reserves the right to permanently delete, without liability, any user data, content, or information associated with your account, including but not limited to virtual trading data, personal details, or user-generated content. You acknowledge that CROSEUS LTD has no obligation to retain or provide access to your data following termination.

CROSEUS LTD shall not be liable to you or any third party for the termination of your account or access to the Service.

14. Changes to These Terms

CROSEUS LTD reserves the right to modify, update, or amend these Terms of Use at any time, at its sole discretion. When changes are made:

• Notice of Changes: Any updates will be posted within the Service or application, and the date of the latest revision will be clearly indicated at the top of this document. Depending on the nature of the changes, CROSEUS LTD may provide additional notice (such as via email or in-app notifications) to ensure users are informed.
• Your Responsibility: It is your sole responsibility to regularly review these Terms for any changes or updates. CROSEUS LTD recommends reviewing the Terms periodically, as continued use of the Service after changes are posted constitutes your acceptance of the amended Terms.
• Right to Discontinue Use: If you do not agree to any changes or modifications to these Terms, you should immediately discontinue your use of the Service. CROSEUS LTD assumes no liability for any decisions you make in response to these modifications.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Turkey, without regard to any conflicts of law principles.

• Jurisdiction: Any disputes, claims, or legal actions arising out of or in connection with these Terms, the Service, or your use of the Service shall be brought exclusively in the courts located in Turkey. You agree to irrevocably submit to the jurisdiction of these courts and waive any objections to the venue.
• Forum for Legal Actions: You expressly agree that any legal actions, disputes, or controversies must be filed only in the courts of Turkey, and you agree not to bring any claims or lawsuits in any other venue.
• Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of these Terms shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid, enforceable provision that reflects the original intent of the parties as closely as possible.

16. Limitation of Liability for User-Generated Content

CROSEUS LTD is not responsible for the actions, behaviors, or content contributions of any users, including but not limited to comments, images, or any other materials shared within the Service. By using the Service, you acknowledge and agree that:

• CROSEUS LTD does not monitor, verify, or guarantee the accuracy, legality, or appropriateness of any user-generated content.
• You assume full responsibility for any interactions with other users and for any consequences arising from such interactions.
• You waive any claims, liabilities, or demands against CROSEUS LTD relating to user-generated content that may be offensive, harmful, inaccurate, defamatory, or otherwise inappropriate.
• CROSEUS LTD reserves the right, but is not obligated, to remove any user-generated content at its sole discretion.
• CROSEUS LTD shall not be held liable for any direct, indirect, incidental, or punitive damages arising from the use or reliance on user-generated content.

17. Force Majeure

CROSEUS LTD shall not be liable for any delay or failure in performance under these Terms caused by circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or acts of God.
• War, terrorism, or civil unrest.
• Cyberattacks, internet failures, power outages, or other technical failures.
• Governmental actions, regulations, or restrictions, including trade sanctions or embargoes.

In the event of a force majeure, CROSEUS LTD’s obligations will be suspended for the duration of the event, and we shall make reasonable efforts to resume operations as soon as practicable. Users agree that CROSEUS LTD is not responsible for any losses, damages, or inconveniences resulting from such events.

18. No Waiver

Failure by CROSEUS LTD to enforce any right or provision of these Terms shall not be construed as a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of CROSEUS LTD.

CROSEUS LTD reserves the right to enforce its rights at any time, and the failure to exercise a right shall not preclude the company from doing so in the future.

19. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid one that reflects the original intent as closely as possible.

This ensures that these Terms remain legally binding and enforceable even if parts are deemed unenforceable or inapplicable.

20. Electronic Communications

By using the Service, you agree to receive all communications from CROSEUS LTD electronically, including but not limited to:

• Email notifications
• In-app messages or alerts

You agree that all agreements, notices, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Electronic delivery is mandatory for Service usage, and opting out is only possible by ceasing to use the Service. CROSEUS LTD is not liable for any delays or failures in delivering electronic communications due to circumstances beyond our control, including but not limited to internet outages or server issues.

21. Dispute Resolution and Arbitration

In the event of any disputes arising from or relating to these Terms or your use of the Service, both parties agree to first attempt to resolve the dispute informally. If informal resolution is not possible:

• Binding Arbitration: You agree to resolve any claim, dispute, or controversy exclusively through binding arbitration in Istanbul, Turkey, conducted under the rules of the Istanbul Arbitration Centre (ISTAC). The arbitration shall be governed by Turkish law, irrespective of the origin of the dispute, including disputes arising from the United States, European Union, or any other jurisdiction.
• Costs and Fees: Each party is responsible for its own legal fees and arbitration costs. CROSEUS LTD shall not be responsible for covering the costs of arbitration unless required by applicable law.
• Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class or collective lawsuit.

This section does not apply to claims for injunctive relief or other equitable relief in cases of intellectual property violations.

22. User Data and Privacy

By using the Service, you acknowledge and agree that CROSEUS LTD may collect, store, and process your personal information in accordance with our Privacy Policy. You further agree that:

• CROSEUS LTD may transfer your data internationally as part of providing the Service, including to jurisdictions outside your home country, such as the United States or other regions that may not offer the same level of data protection.
